(i)  the investor is a natural person who either (a) has a net worth, or joint net worth with the investor’s spouse, exceeding $1,000,000 at the time of purchase; or (b) had an individual income in excess of $200,000 in each of the two most recent years, or joint income with that person’s spouse in excess of $300,000 in each of those years, and who reasonably expects to reach the same income level in the current year; 2. (ii) the investor is an institutional investor, such as a bank, savings and loan, broker or dealer, insurance company, investment company, or a corporation, partnership, or a trust with total assets in excess of $5,000,000, or a trust that otherwise qualifies as an accredited investor as set forth in Regulation D; or 3. (iii) the investor is an entity in which all of the equity owners are accredited investors.
